FreshCount Demo Software Evaluation License

IMPORTANT: This package is a time-limited demo provided solely for evaluation and demonstration purposes. Any commercial "custom software" delivered by FreshCount will be licensed under a separate written agreement and different terms. Nothing in this demo license grants rights to any future deliverables.

1. Grant of License

FreshCount ("Provider") grants you ("Customer") a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to run this demo software internally for evaluation purposes only.

2. Restrictions

  • use the demo software in production or for operational decision-making where failure could cause loss;
  • copy, modify, adapt, or create derivative works from the demo software;
  • reverse engineer, decompile, disassemble, or attempt to derive source code, except as expressly permitted by applicable law notwithstanding this restriction;
  • redistribute, publish, or make the demo software available to any third party.

3. Ownership

All right, title, and interest in and to the demo software (including all intellectual property) remains with FreshCount. Customer retains ownership of its own data.

4. No Warranty

THE DEMO SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRESHCOUNT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRESHCOUNT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, OR CROP LOSS) ARISING OUT OF OR RELATING TO THE DEMO SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Term and Expiry

This license automatically terminates on December 31, 2026 (end of day, local time), or earlier upon written notice from FreshCount. Upon termination, Customer must stop using the demo software and delete all copies.

7. Third-Party Software

This demo software may include third-party open-source components. Their license notices remain applicable to those components. Where included in the distribution, third-party license texts can be found in the relevant component directories (e.g., under a "deps/" folder).

8. Governing Law

This license is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
